1. Introduction
Welcome to AUTOTRND (“AUTOTRND,” “we,” “us,” or “our”).
By accessing or using our services—including strategy consulting, cash-flow system design, funnel and website-related work, CRM setup and configuration, automation systems, marketing flows, and any related software or assets—you (“Client”) agree to be bound by these Terms and Conditions (the “Terms”).
These Terms form a binding agreement between you and AUTOTRND and govern your use of all services provided by AUTOTRND. Please review them carefully before proceeding.
If you do not agree with any part of these Terms, you should not use AUTOTRND’s services.
2. Services & Scope
AUTOTRND provides done-for-you and done-with-you services focused on building and maintaining a Cash-Flow System for local service businesses. Services may include, but are not limited to:
- Business, pricing, and offer strategy
- Design and implementation of a Cash-Flow System, which may include:
- Lead capture and qualification experiences (e.g., quizzes, forms, funnels)
- Customer retention / repeat business concepts
- Referral and review-generating systems
- Optional membership or maintenance frameworks where appropriate
- Funnel, “quiz site,” and landing experience builds (e.g., via Perspective or similar platforms)
- Website builds or online “home” setups (e.g., via Duda or similar platforms)
- CRM and field-service software setup and configuration (e.g., Bestmate, Housecall Pro, Jobber, Workiz, or similar tools)
- Automation setup for reminders, follow-ups, review requests, and related workflows (e.g., via Zapier or similar tools)
- Ongoing optimization, consulting, and support related to the above
Unless explicitly stated in writing, AUTOTRND is not the provider, reseller, or guarantor of any third-party software (including, without limitation, Perspective, Duda, Bestmate, Square, Stripe, Housecall Pro, Jobber, Workiz, or similar platforms) and is not responsible for those platforms’ uptime, security, availability of features, pricing, or changes in terms. The Client is solely responsible for paying all third-party software fees directly to those vendors.
3. Service Commitment & Launch Phase
3.1 Launch Phase Commitment.
Once a Client initiates service—defined as any of the following:
- beginning onboarding,
- providing business assets or logins,
- paying the first invoice, or
- confirming in writing (including by email or message) that AUTOTRND should begin setup,
the Client agrees to a minimum launch commitment of two (2) full billing cycles (the “Launch Phase”), unless a different initial term is explicitly stated in the specific service agreement, proposal, or order form.
This Launch Phase is essential to allow for:
- strategy implementation,
- system and funnel configuration,
- website or online home configuration (if applicable),
- integration with the Client’s tools and CRM, and
- testing, tuning, and optimization.
3.2 Early Cancellation During Launch Phase.
Early cancellation during the Launch Phase is strongly discouraged and may result in:
- loss of access to systems or assets created by AUTOTRND,
- loss of any progress made during setup, and/or
- service termination at our discretion.
Fees paid for the Launch Phase are non-refundable (see Refund Policy), even if the Client chooses to stop using the services before the end of the Launch Phase.
3.3 Post-Launch Term.
After the Launch Phase, services generally continue on a month-to-month basis, unless a different term is specified in the Client’s service agreement. The Client may then cancel in accordance with Section 10 (Cancellation of Services).
3.4 Pre-Engagement Commitment Agreements.
From time to time, AUTOTRND may offer a Client or prospect the option to sign a separate Commitment Agreement to:
- lock in certain promotional or discounted pricing for a future start date, and/or
- document the Client’s intent to engage AUTOTRND after funds become available.
Any such Commitment Agreement is separate from these Terms and does not itself activate services. Service activation still requires:
- execution of AUTOTRND’s main Service Agreement or equivalent order form, and
- receipt of the first payment.
If a Client signs a Commitment Agreement and then fails to commence services by the agreed date (or any mutually agreed extension), AUTOTRND may, at its sole discretion:
- withdraw or modify the promotional pricing,
- decline to accept the engagement, and/or
- enforce any remedies set out in that Commitment Agreement.
4. Billing, Payments & Late Fees
4.1 Subscription Model.
AUTOTRND operates primarily on a subscription/retainer model. All setup work and ongoing management are priced into a single monthly fee, unless otherwise specified in writing. Any additional fees (for example, one-time projects or add-ons) will be outlined in the Client’s service agreement or invoice.
4.2 Automatic Renewal.
Subscriptions renew automatically on a monthly basis, unless canceled in accordance with Section 10 (Cancellation of Services).
4.3 Payment Responsibility.
The Client is responsible for:
- Ensuring a valid payment method is on file,
- Paying all AUTOTRND invoices on or before the due date, and
- Maintaining their own accounts and payment methods with any third-party software providers.
4.4 Third-Party Software Fees.
If applicable, third-party software fees (including but not to: Perspective, Bestmate, website hosting, phone line add-ons, Stripe, Square, or other tools) are billed directly by those providers to the Client and are separate from AUTOTRND’s fees. AUTOTRND does not mark up or resell these subscriptions unless explicitly stated in a separate written agreement.
4.5 Late Fee Policy.
- Invoice due dates are established during or after the sale and may be modified only by mutual written agreement.
- All invoices must be paid by the agreed due date.
- If an invoice is not paid by the due date, the Client will first receive a warning for that month when payment is received.
- After the first warning, a late fee of $5 (five dollars) per day may be applied to any subsequent overdue invoices until the outstanding balance is paid in full.
- Late fees continue to accrue on a daily basis until payment is made.
- Failure to pay may result in temporary suspension or permanent termination of services, removal of access to dashboards and systems managed by AUTOTRND, and/or refusal to provide further support or optimization.
5. Refund Policy
AUTOTRND does not offer refunds.
Our onboarding, setup, strategic planning, and technical implementation work are heavily front-loaded and begin as soon as service starts (or as soon as we begin reviewing assets and systems, if earlier). All sales are final once onboarding begins or once work has commenced in any capacity.
This applies to:
- Monthly subscription fees,
- Launch Phase fees,
- Promotional pricing, and
- Any other fees unless a written, signed exception is made by AUTOTRND.
6. Meeting Attendance & Communication
6.1 Meeting Attendance.
All scheduled meetings between AUTOTRND and the Client are considered professional business engagements and are essential for:
- maintaining project momentum,
- finalizing strategy decisions, and
- ensuring implementation lines up with the Client’s real-world operations.
Cancellation Policy:
- If a scheduled meeting is missed or canceled without rescheduling at least 24 hours in advance, a $10 cancellation fee may be added to the Client’s current month’s invoice.
- This policy applies to all meetings, including but not to onboarding calls, strategy calls, and review calls.
6.2 Communication Requirements.
If repeated calls, messages, or outbound communications from AUTOTRND are continuously ignored or left unanswered for a prolonged period, AUTOTRND may:
- pause the Client’s account and project work until communication resumes, and/or
- terminate services if prolonged non-responsiveness makes performance impractical.
By continuing to use AUTOTRND’s services, the Client acknowledges and agrees to this policy as part of our working relationship.
7. Client Responsibilities
The Client agrees to:
- Provide all necessary branding materials, business information, logins, approvals, and access to third-party platforms in a timely manner.
- Complete requested questionnaires, forms, and assessments (including any cash-flow or business type quiz) honestly and as accurately as possible.
- Respond to reasonable requests for information promptly so that strategy and implementation are not delayed.
- Maintain their own subscriptions and accounts with any third-party platforms used in connection with our services.
- Follow AUTOTRND’s reasonable recommendations and processes where those processes are clearly communicated.
AUTOTRND is not liable for performance issues, delays, or reduced results caused in whole or in part by:
- late responses,
- missing, inaccurate, or incomplete information,
- failure to follow recommended processes, or
- lack of participation, communication, or cooperation from the Client.
8. No Guarantees & Performance Disclaimer
AUTOTRND focuses on building systems, strategy, and infrastructure—not on selling unrealistic promises.
Accordingly, AUTOTRND does not guarantee specific outcomes, such as:
- a certain number of leads,
- a specific revenue amount,
- a booked-out calendar,
- a particular number of reviews, or
- any specific result within a set time frame.
Results depend on multiple factors outside our control, including but not to:
- market conditions and seasonality,
- economic changes,
- the Client’s pricing, service quality, reputation, and customer experience,
- the Client’s ability and willingness to consistently use the systems implemented,
- the Client’s internal team, operations, and follow-through.
By using our services, the Client acknowledges and agrees that no verbal or written statement made by AUTOTRND (including in sales calls, emails, or marketing materials) should be interpreted as a promise, warranty, or guarantee of results.
9. Intellectual Property & Strategic Materials
9.1 AUTOTRND IP.
Unless otherwise agreed in a signed, written contract:
- All frameworks, written materials, visual assets, system designs, SOPs, automations, funnel structures, messaging, copy, and other methodologies created or provided by AUTOTRND (“AUTOTRND IP”) remain the exclusive property of AUTOTRND.
- This includes, without limitation, AUTOTRND’s unique combinations of lead qualification, pricing strategies, discount structures, review and referral systems, and membership/maintenance concepts as packaged into a Cash-Flow System.
9.2 License to Use in Client’s Business.
While the Client is an active paying Client in good standing, AUTOTRND grants the Client a limited, non-exclusive, non-transferable license to use the systems, assets, and strategies we implement inside the Client’s own business only.
After our engagement ends, the Client may continue to use the configurations that already exist in the Client’s own accounts (e.g.:
- CRM setups,
- automations,
- funnel or quiz structures, and
- website layouts,
to the extent those exist in tools owned and paid for by the Client). This does not transfer ownership of the underlying frameworks and does not give the Client the right to resell, redistribute, or commercialize AUTOTRND IP in any way.
9.3 Prohibited Uses.
The Client agrees not to:
- Copy, share, or redistribute AUTOTRND IP (including proposals, strategy documents, call recordings, funnel layouts, templates, and SOPs) to other businesses, agencies, consultants, or contractors.
- Resell, license, or offer AUTOTRND’s system design as the Client’s own “framework,” “system,” or “proprietary method” to others.
- Use recordings, screenshots, transcribed calls, or documents from our work together to train or equip other businesses or service providers to implement a substantially similar system in exchange for money or other compensation.
9.4 Prospective Clients & Strategy Discussions.
During sales calls, audits, or strategy sessions held before becoming a paying client, AUTOTRND may share general concepts, recommendations, or examples for educational purposes. These discussions:
- do not grant any ownership rights in AUTOTRND IP, and
- do not grant the right to copy proposals, written materials, or specific system designs that may be shown or sent.
Any documents, diagrams, or written recaps provided during the sales process are considered AUTOTRND IP and may not be reused, shared, or implemented in substantially similar form without engaging AUTOTRND’s services.
Nothing in this section is intended to prevent the Client from using ordinary business practices such as offering discounts, requesting referrals, or asking for reviews in their own way. This section is intended to protect AUTOTRND’s specific implementations, strategic structures, and proprietary combinations of those elements.
10. Cancellation of Services
10.1 Cancellation After Launch Phase.
After the initial Launch Phase described in Section 3, the Client may cancel services with a minimum of seven (7) days’ written notice prior to the next billing cycle.
10.2 Method of Cancellation.
All cancellations must be submitted via email to:
[Insert official email, e.g., [email protected]]
or any updated address we provide in writing.
Verbal cancellations, text messages, social media messages, or failure to respond to communications do not constitute valid cancellation.
10.3 Effect of Cancellation.
Upon cancellation:
- Access to any systems, dashboards, or tools managed by AUTOTRND may be removed or transferred at AUTOTRND’s discretion, subject to any separate written agreement.
- Ongoing management, monitoring, adjustments, and support will stop at the end of the paid period.
- Fees already paid remain non-refundable as per Section 5.
- Nothing in this section limits AUTOTRND’s right to terminate services for non-payment, misuse, or breach of these Terms.
11. Limitation of Liability
To the fullest extent permitted by law, AUTOTRND is not liable for any indirect, incidental, special, punitive, or consequential damages, including but not to:
- loss of revenue, profits, or opportunities,
- loss of data,
- third-party software outages, bugs, or disruptions,
- issues caused by third-party vendors, platforms, or service providers,
- Client’s loss of access to third-party tools due to the Client’s non-payment or breach of those tools’ terms.
All services are provided “as-is” and without warranties, expressed or implied, except as explicitly stated in a separate signed agreement.
Where liability cannot be excluded, AUTOTRND’s total aggregate liability for all claims arising out of or related to the services shall not exceed the total amount actually paid by the Client to AUTOTRND for services in the three (3) months immediately preceding the event giving rise to the claim.
12. Revisions to These Terms
AUTOTRND may update or modify these Terms at any time. Clients will be notified of material changes via email or through their client dashboard/portal, where applicable.
Continued use of AUTOTRND’s services after such updates constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles.
14. Acceptance
By:
- using AUTOTRND’s services,
- paying an invoice,
- signing a Service Agreement or Commitment Agreement, and/or
- continuing with onboarding,
the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
If you do not agree with any part of these Terms, you should not use AUTOTRND’s services.
